In short
- iBidLogistics is a tool that helps shippers, transporters and consignees plan, price, allot, track and settle freight. The contract to carry a load is between the shipper and the transporter, not with us.
- A bid you place in an auction is a firm offer to carry that freight at that price. The shipper decides whom to allot to.
- Keep your account details accurate. Transporters are responsible for their vehicles, drivers, permits and insurance being real and valid.
- Drivers on an active trip are tracked, as described in the Privacy Policy.
- Your organisation's data stays its own. We use it to run the service and for nothing else.
1. The agreement
These terms are between you and iBidLogistics ("iBidLogistics", "we", "us"), Erica, Flat 202, Nyati Equatorial, Pune, Maharashtra, India, and cover the website at ibidlogistics.com and the iBidLogistics web and mobile applications (the "Services"). By using the Services you agree to them.
If you use the Services on behalf of a company, transporter or other organisation, you confirm you are authorised to bind it, and "you" includes that organisation. Where the organisation has signed a separate agreement with us, that agreement prevails over these terms where the two conflict.
Our Privacy Policy and Cookie Policy form part of these terms.
2. Accounts and access
- Accounts are created for you by your organisation's administrator or by iBidLogistics, and carry a role that determines what you can see and do. We do not offer self-service public sign-up.
- You sign in with a one-time passcode sent to your registered mobile number. Keep that device secure. Anything done from your account is treated as done by you until you tell us otherwise.
- Tell your administrator or us promptly if your details change or you believe your account has been misused.
- An account is for one named person. Do not share it.
3. What the service is, and is not
The Services let a shipper plan dispatches, put freight out to transporters for pricing, allot it, and follow the vehicle through loading, transit and delivery to invoice settlement; let a transporter bid, assign vehicles and drivers, execute trips and raise invoices; and let a consignee follow inbound deliveries and confirm receipt.
iBidLogistics provides the software. We are not a carrier, freight forwarder, broker or agent of any party. The contract of carriage arises between the shipper and the transporter when a freight is allotted, on whatever terms those two have agreed. We are not a party to it, we do not take custody of goods, we do not guarantee that any freight will be bid on, allotted, collected or delivered, and we do not guarantee any price. Any dispute about a load, a rate, damage, delay or payment is between the parties to that freight.
4. Auctions, bids and counter-offers
- A bid is a firm offer. When a transporter places a bid, it offers to carry that freight, on the route, material, vehicle type and dates shown, at the bid price. It may not be withdrawn during the auction except where the platform provides for it.
- Bids only go down. In a live or future auction each bid must beat the current best price. The platform rejects a bid that does not.
- Allotment is the shipper's decision. The shipper may allot to any bidder, or to none, and may allot a direct freight to a nominated transporter without an auction. The lowest bid does not automatically win.
- A counter-offer, once accepted, is an award. A shipper may send one transporter a specific price on a live auction. If that transporter accepts, the freight is allotted to it at that price immediately and the auction ends. If it rejects, the auction continues.
- Allotment creates the carriage contract between shipper and transporter at the allotted price. The platform records the time, price and parties of every bid and award, and that record is the authoritative account of what happened.
- Do not bid on behalf of, or in collusion with, another transporter, and do not place a bid you are unable to perform.
5. Transporter obligations
- Every vehicle and driver you add must be real, yours to deploy, and accurately described. Vehicle registrations and driving licences are verified against the government vehicle registry (Vahan); a record that fails verification may be rejected or removed.
- You are responsible for holding, and keeping current, every permit, licence, fitness certificate, insurance and tax registration the law requires for the vehicles, drivers and movements you undertake.
- You are responsible for your drivers. Before assigning a driver to a trip, make sure the driver has installed the mobile app, understands that the vehicle's location is reported during the trip, and has agreed to it.
- Perform each allotted freight as bid: the vehicle type, dates and route shown, and the price awarded.
6. Shipper obligations
- Describe each freight accurately: pick-up and drop-off locations and their pin codes, material, quantity, vehicle type and dates. Pin codes drive geofencing, so a wrong one breaks arrival detection for that stop.
- Ship only goods that are lawful to move and that you are entitled to ship, and declare anything hazardous or regulated.
- Consignee details you enter are personal information about someone else; enter only what is needed to deliver, and only where you are entitled to share it.
- Honour allotments. Cancelling an allotted freight may have consequences under your agreement with the transporter.
7. Tracking and proof of delivery
During an active trip the mobile app on the driver's device reports the vehicle's position, and arrival at each stop is detected by comparing that position with the stop's pin code. Position depends on the device, its signal and its settings; a stop that is not detected automatically can be recorded manually. We do not guarantee that tracking is continuous or precise, and it must not be relied on as the sole record for any safety-critical purpose.
Proof of delivery is recorded by the driver or the consignee against each stop. It is evidence entered by those users; we store it as entered and do not verify its content. A trip closes only when every stop has been accounted for.
8. Invoices, settlement and fees
The platform lets a transporter raise an invoice against a completed trip and lets a shipper approve it and record settlement. Payment itself happens between shipper and transporter outside the platform; we do not hold, transfer or collect money on either side's behalf, and we are not responsible for late or non-payment.
Our own fees for the Services are set out in the agreement with your organisation. We do not publish pricing on this website.
9. Acceptable use
You must not:
- access data of any company, transporter, branch or freight you have not been given access to, or probe the Services for a way to do so;
- interfere with an auction, for example by automated bidding, by placing bids you do not intend to honour, or by coordinating prices with other bidders;
- upload malicious code, or content that is unlawful, defamatory or infringes someone else's rights;
- scrape, copy or resell the Services or their data, or reverse-engineer the software;
- overload or disrupt the Services or the networks they run on;
- use the Services to move goods unlawfully or to evade any regulatory requirement.
10. Your data and our software
The plans, freights, bids, trips, documents and other records your organisation puts into the platform remain its own. You grant us the right to store, process, transmit and display that data as needed to provide the Services, to keep the audit trail described in section 4, and to produce the analytics and reports available to your organisation. We may use data in aggregated or anonymised form, from which neither your organisation nor any person can be identified, to operate and improve the Services.
The software, its design and its content are owned by iBidLogistics or its licensors. You get a non-exclusive, non-transferable right to use them as part of the Services for as long as these terms are in force, and nothing else.
On termination, your organisation may request an export of its data within a reasonable period, after which we may delete it in line with our retention practices.
11. Availability and changes
We aim to keep the Services available at all times but do not guarantee uninterrupted access. We may suspend the Services for maintenance, and we will try to give notice and to schedule it outside business hours. Any service-level commitment is in your organisation's agreement with us, not here.
We improve the Services continually and may add, change or withdraw features. We will not remove a feature that your organisation's agreement specifically commits us to without notice.
12. Warranties and liability
The Services are provided "as is". To the fullest extent the law allows, we exclude all warranties not expressly stated in your organisation's agreement, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement, and any warranty about the accuracy of tracking, the outcome of an auction, or the conduct of any other user.
To the fullest extent the law allows, we are not liable for any indirect or consequential loss, loss of profit, revenue, business or goodwill, loss of or damage to goods in transit, or any loss arising from the acts or omissions of another user of the Services. Our total liability to you for all claims arising out of the Services in any twelve-month period is limited to the fees your organisation paid us for the Services in the twelve months before the claim arose. Nothing in these terms limits liability for fraud, or for anything that cannot be limited by law.
You will indemnify us against claims by third parties arising from your breach of these terms or of the law, including claims arising from goods you ship or vehicles and drivers you deploy.
13. Suspension and termination
We may suspend or close an account, or restrict its access, if we reasonably believe it is being used in breach of these terms or in a way that puts other users, the Services or us at risk, and we will tell you why unless the law prevents it. Your organisation may remove your access at any time. Sections 4 (records of bids and awards), 10, 12, 14 and any other term that by its nature should survive, survive termination.
14. Governing law
These terms are governed by the laws of India. The courts at Pune, Maharashtra have exclusive jurisdiction over any dispute arising from them, without prejudice to any dispute-resolution procedure in your organisation's agreement with us.
15. Changes to these terms
We may update these terms. The date at the top tells you when. For a material change we will notify signed-in users in the application or by email before it takes effect. Continuing to use the Services after that date means you accept the updated terms.
